When do you need a memorandum amendment?
An amendment may be needed when company information, management, signing authority or an agreed provision of the memorandum changes. State the legal form shown in the company records so the required approvals, supporting documents and attestation route can be reviewed. If the change involves selling an interest or a shareholder leaving, describe the transaction so the relevant transfer documents can also be identified.
Establish the current contractual record
The review needs the current agreement and relevant amendments, rather than only the original version. Organise the approved documents by date.
