Memorandum of Association Amendment

Reviewing a company memorandum amendment and authenticating the client's signature

A memorandum of association amendment records the agreed changes to an existing company document. Abdul Rahman Alaamri Advocates, Legal Consultants & Private Notary reviews the current memorandum, earlier amendments, proposed changes and signing authority before explaining the applicable signing and attestation steps. Start by identifying what should change and what should remain in place, whether the request concerns management, company information or shareholders’ arrangements.

When do you need a memorandum amendment?

An amendment may be needed when company information, management, signing authority or an agreed provision of the memorandum changes. State the legal form shown in the company records so the required approvals, supporting documents and attestation route can be reviewed. If the change involves selling an interest or a shareholder leaving, describe the transaction so the relevant transfer documents can also be identified.

Establish the current contractual record

The review needs the current agreement and relevant amendments, rather than only the original version. Organise the approved documents by date. If you have a draft, distinguish proposed wording from negotiation comments. Explain any difference between the company’s register information and the documents held by the parties before a new version is approved.

Who approves and who signs?

Identify the affected parties and proposed representatives. A management or employment title does not by itself establish authority to sign an amendment. Corporate records, decisions or recipient instructions may be relevant. The requirements are assessed for the company and transaction instead of assuming one approval or voting arrangement applies to every case.

Information for the first review

Begin with a short explanation of the change. Supporting documents can follow through the designated channel; full identity details or confidential financial records do not belong in a general enquiry form.

  • The existing agreement and relevant earlier amendments.
  • Company details, legal form and registering authority.
  • The provisions to be changed and proposed wording, if available.
  • Signatories, capacities and evidence of authority.
  • Any relevant corporate decision or recipient requirement.

How the amendment is reviewed

The requested changes are compared with the agreement and supporting records. Missing details or inconsistencies are identified before the wording, signing arrangements and charges are explained. Check clause references, names, dates and the treatment of provisions remaining in place. Where licence or register changes are required, those must be followed up with the competent authority after the applicable document procedure.

Timing and the scope of charges

The number of earlier instruments, changes and signatories, as well as foreign documents and translation, affect the estimate. Distinguish preparation and notarisation from other registration work. Eligibility is reviewed for the transaction, and any additional approval or document requirement is identified before arrangements are confirmed.

Frequently asked questions

Can I send only the new clauses?

The existing provisions and related definitions matter. A clause viewed in isolation may conflict with another part of the agreement or a previous amendment.

Is a share transfer just a general amendment?

Explain the substance first. A sale or assignment of shares may require transfer-related documents and procedures, rather than a simple wording change.

Does signing update the company register?

Check the registering authority’s required steps. Completing the instrument does not itself prove that the licence or registry information has been changed.
